Deborah is a problem-solver by nature and practice with a unique perspective on key business objectives.  She combines practical business experience as CEO, Restructuring Officer, Board Chair, corporate director, and strategic consultant with the in-depth knowledge of a former deal lawyer and corporate governance expert.  She has personally seen how deals are put together, operate, and can fall apart.

Deborah's business and legal experience span varied industries and business systems.  She is particularly attuned to dynamics and relationships within an organization and between counterparts in a transaction. After more than 22 years in the legal and corporate world, she has a practical appreciation for the interconnectedness and interdependence of the contractual terms and the counterparties.

She offers this distinctive skill set in arbitrator and mediation and brings first-hand insights into the growing field of dispute prevention and early conflict engagement. As a strategic thinker, Deborah is adept at tailoring these processes to your needs and situation.

 

REPRESENTATIVE MATTERS

Matters in which Deborah has been an arbitrator or mediator include:

Matters in which Deborah practiced dispute prevention include:

  • negotiated settlement of multiple classes of claims outside judicial processes

  • restructuring of pharma license and related supply and manufacturing contracts on massive demand shifts

  • restructuring of capital structure, including and syndicated loan agreements, for insolvent companies positioning for successful turnarounds and exits

  • disputes over breaches of representations and warranties in M&A transactions


Background

In her 22-year career as a highly rated lawyer at a Top 100 U.S. law firm, Deborah focused on complex transactions and corporate governance. She was recognized for more than 10 years in Best Lawyers in American for corporate law and was rated AV Preeminent by Martindale-Hubbell. In addition to co-founding and growing a new office of her firm, she was the first woman and youngest partner elected by the partners to the management committee.

Deborah currently serves as a director of a privately-owned health care clinical products manufacturer and design company with operations in the E.U. and India. She also serves on two other health-related companies. She previously served as:

  • CEO of an innovative digital behavioral health company;

  • Independent Board Chair for a $1B revenue family-owned consumer products company;

  • Restructuring Officer of a telecom company with peak revenues of $500 million; and

  • Strategic consultant focused on biopharma financing and health innovation.

 

ADR Credentials

Deborah is a Fellow of the Chartered Institute of Arbitrators. She is admitted to the American Arbitration Association’s Panel of Arbitrators for Commercial, Consumer, Health Care, M&A, and Joint Ventures; the American Health Lawyers' Association Dispute Resolution Services Panel of Arbitrators and Mediators; the International Institute of Conflict Prevention & Resolution (CPR)'s Distinguished Panel of Neutrals for Arbitration and Mediation; CPR’s Dispute Prevention Panel, CPR’s Flat Fee Mediation Panel; Resolute System’s Panel of Mediators and Arbitrators; and FINRA’s Panel of Arbitrators. She was an arbitrator at the Vis International Commercial Arbitration Moot (West) in 2020 (Online) and in 2019 in Vienna. Deborah is a certified mediator under the North Carolina Mediated Settlement Conference Program for the Business Court and other Superior Courts.
